RULES & REGULATIONS THE CLEAN 15 CLEANTECH COMPETITION™ Rogers Publishing Limited, DRAYTON WEISSENFELS INC.

01) The Competition starts at 9:00 am on Tuesday, May 19, 2009 and continues until 11:59 pm on Monday, July 13, 2009 (the “Competition Closing Date”). No purchase necessary. Only one (1) entry per technology (each entry, a “submission”) as outlined below; there is no limit to the number of submissions from each entrant (provided each submission complies with the requirements set out in these Rules and Regulations). Eligible submissions must each focus on products that are technical in nature, and must have business applications and/or consumer retail appeal. All times are Eastern Standard Times. This Competition is sponsored by Drayton Weissenfels Inc., Rogers Publishing Limited (“Rogers”) as represented by Canadian Business magazine, Yet2.com and ricardomccare.com (collectively, “Competition Sponsors”).

02) To enter, visit www.theclean15.com, download and complete the entry form in full and submit as instructed by the Competition Closing Date. Any form not fully completed may be rejected by the Competition Judges.

03) The Competition is open to residents of Canada who have reached the age of majority in their province or territory of residence, as of the date of entry, excluding residents of Quebec and employees of the Competition Sponsors, the Competition Judges and their respective parents, subsidiaries, affiliates and agents and those with whom they are domiciled.

04) By entering the Competition, the entrant (a) acknowledges that he/she has fully read and understand these Rules and Regulations, (b) acknowledges that entering into the Competition constitutes full and unconditional agreement and acceptance of these Rules and Regulations; and (c) represents and warrants that the submission is original to him/her and that the entrant has all necessary rights in and to the submission to enter the submission in the Competition.

05) Although the Competition Sponsors will make reasonable efforts to maintain the confidentiality of all submissions, Competition Sponsors make no guarantee that confidentiality will be maintained. In submitting a submission, the entrant shall submit only non-confidential and non-proprietary information.

06) By participating in the Competition, the entrant acknowledges and agrees that: (a) submission of an entry shall in no way constitute a binding commitment by any of the Competition Sponsors to enter into any discussions with any entrant; (b) submission of an entry shall not restrict or limit Competition Sponsors’ respective abilities to engage in or develop or launch any business initiative similar to the initiative described in the submission that has been developed, independent of the entrant’s submission; (c) details of the submissions selected as semi-finalists may be published and/or disclosed without prior notice to the entrant; (d) the entrant bears sole responsibility for ensuring that adequate steps are taken to protect and preserve any potential intellectual property rights relating to the ideas contained in his or her submission.

07) The Competition Judges panel reserves the final decision in declaring eligibility.

08) The entrant acknowledges and confirms that by participating in the Competition the entrant will be required, in consideration of entering into the Competition, to enter into further agreements with Drayton Weissenfels Inc., pursuant to which Drayton Weissenfels Inc. will be entitled to fees for its services only if, as a result of the provision of such services, the entrant successfully enters into an agreement with a third party. Such agreements shall be subject to good faith negotiations. In the event that the entrant is not willing or able to enter into such agreement, the entrant will not be entitled to participate in the Competition.

09) Entrants are eligible to win one Grand Prize having an approximate retail value of up to $60,000 consisting of: (a) conference registration and speaker credentials to present your technology at Yet2.com’s Executive Briefing targeted Fortune 500 audience and a Tabletop booth at Yet2.com’s tradeshow/poster area being held in Boston, Massachusetts September 29, 2009 to October 1, 2009 (approximate value of $6,500); (b) posting of the winning technology on Yet2.com for a period of one year (approximate value of $30,000); (c) product commercialization and channel development services of Drayton Weissenfels Inc. (approximate value of $20,000); (d) web branding and web 2.0 services from Ricardo McCrae (approximate value ($3,500); and (e) featured in a future article to be authored by Canadian Business magazine.

10) The professional fees of up to $30,000 for product commercialization and development prize to be delivered to the confirmed winner within twenty-four (24) months of the prize announcement date. The Competition Sponsors reserve the right, at their sole and absolute discretion to substitute any prize for a prize of equal or greater value if for any reason a prize cannot be awarded as described. The prizes are non-transferable and must be accepted as awarded with no substitutions of any kind.

11) All submissions will be reviewed by a panel of judges (the “Competition Judges”) selected by Drayton Weissenfels Inc. The Competition Judges will determine three (3) semi-finalists from all eligible entries received from which a potential Grand Prize winner will be chosen.
In selecting the semi-finalists, the judges will use the following criteria:
  (a) Value proposition,
  (b) Uniqueness and competitive advantage,
  (c) Assessment of marketability,
  (d) Likelihood of product to attract investment, and
  (e) Stage of development.

12) To qualify for the Grand Prize, selected entrants may be required by the Competition Judges to answer additional questions relating to their submission.

13) The potential Grand Prize winner will be contacted by phone or email as indicated on their entry form. If the potential Grand Prize winner cannot be contacted after two (2) attempts within ten (10) business days of the selection date, declines the prize, or fails to return a Release of Liability as specified below that person will forfeit rights to the Grand Prize and a potential Grand Prize winner will be chosen from the next two (2) semi-finalists.

14) Competition Judges’ rulings are final and without appeal in all matters related to the promotion and the awarding of prizes.

15) The Competition is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

16) Chances of winning depend on the number of eligible entries as selected according to the criteria set out above, and the caliber of entries received. All entries that are incomplete, illegible, damaged, irregular, have been submitted through illicit means, or do not conform to or satisfy any condition of the rules may be disqualified by the Competition Judges. Competition Sponsors take no responsibility for lost, stolen, delayed, damaged, misdirected, late or destroyed entries, or for typographical or other production errors. Competition Sponsors are not responsible for any errors or omissions in advertising this competition.

17) Competition Sponsors are collecting personal data about entrants for the sole purpose of administering this Competition. No further informational or marketing communications will be received by entrants unless entrants provide Competition Sponsors with explicit permission to do so as indicated on their entry form. Please the Privacy Policies for Rogers at www.rogers.com and for Drayton Weissenfels Inc. at www.drayonweissenfels.com for information on their policies towards maintaining the privacy and security of user information.

18) Competition Sponsors assume no responsibility for failure of the internet or the website during the Competition, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any email or traffic congestion on the internet or at any website, or any combination thereof including any injury or damage to an entrant’s or any other person’s computer related to or resulting from downloading any material in the Competition. Competition Sponsors reserve the right in its sole discretion to cancel or suspend the email portion of the
Competition should a virus, bug or other cause beyond their reasonable control corrupt the security or proper administration of the Competition. Any attempt to deliberately damage any web site or to undermine the legitimate operation of this Competition is a violation of criminal and civil laws. Should such an attempt be made, Competition Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

19) If the identity of an entrant is disputed, the authorized account holder of the e-mail address submitted at the time of entry will be deemed to be the entrant. The individual assigned to the e-mail address for the domain associated with the submitted e-mail address is considered the authorized account holder. A selected entrant may be required to provide proof that he/she is the authorized account holder of the e-mail address associated with the selected entry. All entries must be submitted from a valid e-mail account that may be identified by reverse domain name search. The sole determinant of time for the purposes of receipt of a valid entry in this Competition will be the Competition server machine(s).

20) All entries become the property of the Competition Sponsors and will not be returned.

21) By entering this Competition, entrants release and hold harmless the Competition Sponsors, their advertising and promotional agencies and the Competition Judge(s), their affiliates and respective directors, officers, owners, partners, employees, agents, dealers, representatives, successors and assigns (collectively the “Releasees”) from any liability in connection with this Competition or, if declared a winner, the Grand Prize. Before being declared a winner, entrants will be required to sign and return, within a stipulated period of time, a Declaration of Compliance with the Competition Rules and a full Liability and Publicity Release. By entering this Competition, entrants agree that the Competition Sponsors shall have the right to publish the submission in any publication. Entrants also consent to the use of their name, place of residence, voice, statements, photographs, or other likenesses for publicity, advertising or informational purposes in any medium or format without further compensation or notice.
